We are trying to upgrade from consumer chrome to enterprise chrome. Does the enterprise chrome retains all the shortcuts, favorite, auto-fill information?

Both the MSI installer and the standalone installer use the same user data structure so unless you decide to wipe the user's data when uninstalling the standalone Chrome installations (an option that is presented during supervised uninstall) you should not loose any of the user data of Chrome.

C#2 is spot-on. Today, Chrome distribution via the MSI or the chrome.com consumer install process is the same binary.
